1. Scope of Application

These General Terms and Conditions (GTC) apply to all business relationships between moclue.de, owner Sarah Felipa Martins, Rombergstrasse 16, 20255 Hamburg, hello@moclue.com (hereinafter referred to as the “Provider”) and its business partners (hereinafter referred to as the “Customer”).

These GTC are intended exclusively for businesses within the meaning of Section 14 of the German Civil Code (BGB). Consumers within the meaning of Section 13 BGB are expressly excluded from using the platform as paying customers. Consumers may, however, view and use the platform’s content free of charge.

2. Services Provided by the Provider

The Provider operates an online platform through which businesses can publish job advertisements and/or have their company profiles listed.

The specific services and terms are agreed individually between the Provider and the Customer as part of an offer.

3. Conclusion of the Contract

A contract shall only come into effect upon the Provider’s written order confirmation by email or through the provision of the agreed services.

Offers made by the Provider are non-binding and subject to change.

4. Prices and Payment Terms

All prices are stated in euros. Pursuant to the small business regulation under Section 19 of the German VAT Act (UStG), no VAT is charged or separately stated.

Payment shall be made in accordance with the terms agreed in the individual offer. Invoices are due for payment within 14 days without deduction.

 

5. Customer Obligations

The Customer undertakes to provide only truthful information and not to post any unlawful, misleading, or immoral content.

The Provider reserves the right to remove any content that violates these principles.

 

6. Liability

The Provider shall only be liable in cases of intent and gross negligence.

In cases of ordinary negligence, the Provider shall only be liable for breaches of essential contractual obligations (cardinal obligations). Liability shall be limited to the typical and foreseeable damage.

Liability for lost profits is excluded.

7. Contract Term and Termination

For the Producer Pool, the following shall apply: The contract term begins on the day on which your profile goes online and is 12 months.

Unless the contract is terminated with a notice period of 90 days prior to the end of the respective contract term, it shall automatically renew for another 12 months.

The right to terminate the contract for good cause without notice shall remain unaffected.

8. Data Protection

The Provider shall process the Customer’s personal data exclusively in accordance with applicable data protection laws.

9. References

Following the successful conclusion of the contract, the Provider shall be entitled to disclose and use the business relationship with the Customer as a reference vis-à-vis the media and third parties, in particular on social media platforms.

For this purpose, the Provider may use the Customer’s word and figurative marks as well as other company identifiers.

10. Final Provisions

The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes shall be [Hamburg, provided that the Customer is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law].

Should any individual provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
